BODA GUIDE – PARTNER TERMS & CONDITIONS

These Boda Guide Partner Terms & Conditions (“Terms”) govern the access to and use of the Boda Guide mobile application, related website(s), backend systems, dashboards, support channels, payment and payout tools, and all related services, software, and infrastructure made available by Coreare Technologies (“Coreare”, “Boda”, “we”, “us”, “our”).
These Terms apply to all independent guides, freelance guides, local companions, or similar service providers (“Guide”, “Partner”, “you”, “your”) who register for, access, or use Boda Guide.
By downloading, installing, accessing, registering with, or using Boda Guide, or by tapping “I agree”, “Accept”, “Continue”, “Sign up”, or any equivalent button, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not register as a Guide and must immediately stop using Boda Guide.
These Terms form a binding electronic contract between you and Coreare.
1. Introduction and Acceptance
1.1 Boda Guide is the Partner-facing application of the Boda platform, made available by Coreare Technologies for the purpose of allowing eligible independent Guides to receive, manage, and complete time-based, location-based, and geofenced guide requests from Travelers using Boda Travel or any connected customer-facing service.
1.2 These Terms govern your relationship with Coreare in connection with your use of the Boda Guide platform. They do not create an employment relationship, agency relationship, franchise relationship, or any similar relationship between you and Coreare.
1.3 By using Boda Guide, you agree to comply with:
- these Terms;
- any applicable policies, guidelines, standards, or instructions published in the app or otherwise communicated by Coreare;
- all applicable local, national, and international laws and regulations relevant to your activity.
1.4 If you are registering or acting on behalf of a legal entity, you represent and warrant that you have authority to bind that legal entity to these Terms. In such case, “you” includes that legal entity.
2. Definitions
For the purpose of these Terms:
2.1 “App” means the Boda Guide application and any related systems, interfaces, dashboard, or backend tools operated by Coreare.
2.2 “Platform” means the full Boda technology ecosystem, including Boda Guide, Boda Travel, connected APIs, booking tools, support tools, payment integrations, and related infrastructure.
2.3 “Guide” or “Partner” means an independent individual or entity using Boda Guide to offer lawful in-person guide services through the Platform.
2.4 “Traveler” means the end user, customer, tourist, visitor, or client who requests a service through the customer-facing side of the Platform.
2.5 “Booking” means a service request made through the Platform and accepted by a Guide.
2.6 “Service” means the in-person guide, accompaniment, orientation, or similar lawful local service performed by the Guide for the Traveler through the Platform.
2.7 “Service Area” means the city, zone, district, perimeter, or geofenced area in which the Platform allows service operations.
2.8 “Geofence” means any virtual geographic boundary, radius, polygon, service perimeter, or operational location limitation used by the Platform.
2.9 “Commission” means the fee retained by Coreare from the Booking value, as set out in these Terms.
2.10 “Wallet” means any in-app balance, bookkeeping ledger, or earnings record shown to the Guide through the Platform.
2.11 “Payout” means the transfer of eligible Guide earnings through an approved payout channel.
2.12 “Off-Platform Booking” means any service arrangement, direct booking, payment, extension, or continuation made outside the Platform with a Traveler first introduced or identified through the Platform.
2.13 “Applicable Law” means any law, regulation, ordinance, licence condition, tax rule, professional requirement, consumer rule, tourism rule, privacy rule, or court order applicable to you, Coreare, the Traveler, or the Service.
2.14 “Guide Content” means any profile text, image, biography, document, message, response, review, attachment, or other content uploaded, submitted, or made available by you through the Platform.
3. Nature of the Platform
3.1 Boda is a technology platform that facilitates the discovery, matching, coordination, booking, payment handling, and administration of time-based guide services between independent Guides and Travelers.
3.2 Coreare does not itself provide the in-person guide service unless expressly stated in a separate written agreement.
3.3 Coreare is not, by default and unless expressly stated otherwise in writing:
- a tour operator;
- a package holiday organiser;
- a traditional travel agency;
- a transport provider;
- a taxi or ride-hailing operator;
- an employer of the Guide;
- a security, bodyguard, law enforcement, or emergency response provider.
3.4 You acknowledge and agree that the actual performance of the in-person service is your sole responsibility as an independent Guide.
3.5 The Platform may provide you with operational tools, booking management tools, support channels, payment integrations, and profile visibility, but these do not change your independent legal status.
4. Independent Contractor Status
4.1 You act exclusively as an independent contractor or independent business user of the Platform.
4.2 Nothing in these Terms shall be interpreted as creating:
- an employment relationship;
- a worker relationship;
- an agency relationship allowing you to bind Coreare;
- a partnership or joint venture;
- a fiduciary relationship;
- any right to minimum hours, minimum earnings, or guaranteed work.
4.3 You retain full responsibility for:
- how you lawfully organise your own work;
- compliance with tax and invoicing rules;
- compliance with licensing and tourism regulations;
- your own business decisions, operating costs, equipment, data usage, insurance, transport, and legal obligations.
4.4 You are not entitled to employee benefits, holiday pay, severance, social security contributions by Coreare, minimum shifts, or exclusivity.
4.5 You may not hold yourself out as an employee, representative, agent, branch, or official office of Coreare or Boda.
5. Eligibility and Onboarding Requirements
5.1 To register as a Guide, you must:
- be at least 18 years old;
- have full legal capacity to enter into binding contracts;
- provide accurate, current, and truthful information;
- be legally entitled to provide the relevant service in your operating jurisdiction;
- maintain an account in your own name unless expressly authorised otherwise.
5.2 You may be required to provide any of the following:
- full legal name;
- date of birth;
- email address;
- mobile number;
- profile photograph;
- address or city of operation;
- tax identification or VAT details where required;
- bank or payout account details through approved channels;
- identity documents;
- licences, permits, registrations, or qualifications where relevant.
5.3 Coreare may approve or reject any application at its sole discretion, subject to mandatory law.
5.4 Approval to use the Platform does not constitute a guarantee that you are legally authorised under all local laws to provide every type of guide service in every area. It remains your sole responsibility to verify that point.
6. Identity Verification and Compliance Checks
6.1 To protect the integrity of the Platform, Travelers, and other users, Coreare may require identity verification and ongoing compliance checks before or after approval.
6.2 Such checks may include:
- one or more government-issued identity documents;
- a selfie, live capture, or identity match image;
- tax/VAT documentation;
- proof of residence or service area;
- local guide licence or tourism authorisation where applicable;
- additional documentation reasonably requested by Coreare.
6.3 You agree to provide requested verification documents promptly and truthfully.
6.4 Coreare may suspend, restrict, delist, or terminate your account if:
- verification fails;
- documents are missing, false, expired, inconsistent, altered, or suspicious;
- you refuse reasonable compliance requests;
- there is suspected fraud, impersonation, misuse, or regulatory risk.
6.5 Any verification performed by Coreare is limited to platform-control purposes only and does not amount to:
- a certification of your professional competence;
- a guarantee of your legal compliance at all times;
- a warranty of your conduct or reliability;
- a guarantee to Travelers regarding your future behaviour.
7. Local Licences, Legal Authorisations and Regulatory Responsibility
7.1 You are solely responsible for determining whether your activity as a Guide requires:
- a tourist guide licence;
- a local registration;
- museum or heritage access authorisation;
- a professional permit;
- a tax registration;
- insurance coverage;
- or any other licence, approval, or qualification.
7.2 You must obtain and maintain all such authorisations at your own expense and risk.
7.3 You must not provide a service through the Platform in any location or category where you are not legally authorised to operate.
7.4 If local law limits what an unlicensed guide may say, do, explain, enter, or charge for, you must comply fully with those limits.
7.5 Coreare shall not be responsible for:
- your failure to obtain or maintain required licences or permits;
- any administrative fines, sanctions, suspensions, tax claims, or legal consequences arising from your activity;
- any allegation that you carried out a regulated activity without authorisation.
8. Account Rules and Security
8.1 Your account is personal, limited, revocable, and non-transferable unless expressly authorised in writing by Coreare.
8.2 You must not:
- create multiple Guide accounts without written approval;
- create accounts under false or misleading identities;
- lend, rent, sell, transfer, or share your account or login credentials;
- allow another person to perform Bookings using your account;
- use another person’s account.
8.3 You are fully responsible for:
- maintaining the confidentiality of your credentials;
- activity performed through your account;
- ensuring your device is secure;
- immediately notifying Coreare of suspected unauthorised access.
8.4 You must keep your profile, service area, language skills, documents, and availability reasonably updated.
8.5 Coreare may use technical and behavioural indicators to detect linked accounts, evasion of suspension, fraud, rating manipulation, or payment circumvention.
9. Booking Dispatch, Geofencing and Availability
9.1 The Platform may make Bookings available to you based on one or more operational factors, which may include:
- your current or recent location;
- your stated service area;
- geofence compatibility;
- availability status;
- proximity to the Traveler;
- language compatibility;
- ratings or quality indicators;
- acceptance and completion history;
- cancellation history;
- reliability or operational signals;
- technical or anti-fraud rules.
9.2 Coreare does not guarantee:
- a minimum number of requests;
- any particular ranking or visibility;
- any uninterrupted access to high-demand areas;
- any level of earnings or business volume.
9.3 You acknowledge that dispatching, matching, and visibility logic may change over time for technical, legal, fraud-prevention, quality, commercial, or operational reasons.
9.4 Geolocation, GPS, mapping, and geofence tools are inherently imperfect. Coreare does not warrant that they will always be accurate, available, or error-free.
9.5 You must only go online and accept Bookings when you are genuinely able to perform them lawfully, safely, and within the relevant service perimeter.
10. Acceptance, Arrival, Start, Completion and Extensions
10.1 A Booking becomes binding only once you accept it through the Platform or once it is otherwise assigned and confirmed through the Platform workflow.
10.2 You must make reasonable efforts to:
- arrive on time;
- follow the Platform’s operational workflow;
- maintain contactability where required by the App;
- start and complete the Booking truthfully in the App.
10.3 The service time may be calculated by reference to:
- the scheduled start;
- your recorded arrival;
- the in-app start action;
- the in-app completion action;
- any extension authorised in the App;
- any dispute or no-show outcome.
10.4 You must not falsely mark yourself as arrived, started, present, or completed.
10.5 If the Traveler is absent, unreachable, materially late, or otherwise does not present for the Booking, you must follow the applicable no-show workflow shown in the Platform.
10.6 Extensions may only be made through the Platform where such feature exists. You must not privately extend a Booking in order to avoid Commission or Platform rules.
10.7 Coreare may rely on in-app data, timestamps, location data, communications, and dispute records to determine the official status and payable duration of a Booking.
11. Guide Obligations and Service Standards
11.1 You agree to provide the service in a lawful, respectful, professional, and reasonably reliable manner.
11.2 Without limitation, you must:
- act courteously and professionally;
- be honest in your profile and communications;
- use the language(s) you advertise at a reasonable level;
- comply with local law and public-space rules;
- avoid unsafe conduct;
- avoid discriminatory, abusive, intimidating, or exploitative behaviour;
- use reasonable care when accompanying Travelers in public areas;
- follow the operational steps and support instructions of the Platform where reasonable.
11.3 You remain solely responsible for your own route choices, spoken content, historical or cultural explanations, recommendations, and interactions during the service.
11.4 You must not misrepresent the scope of the service. Unless separately enabled by the Platform and lawful in the jurisdiction, your role does not include transport, security protection, medical assistance, legal advice, immigration advice, or regulated official representation.
11.5 You must cooperate reasonably with dispute reviews, safety reports, and support investigations.
12. Prohibited Conduct
12.1 You must not, directly or indirectly:
- provide false identity or false documents;
- impersonate another person;
- allow third parties to use your account;
- accept Bookings you do not intend to perform;
- artificially manipulate geolocation, geofences, availability, ratings, or completion metrics;
- request or accept Off-Platform Bookings in breach of these Terms;
- solicit direct payment from a Traveler outside allowed Platform flows;
- pressure a Traveler to cancel and rebook privately;
- harass, threaten, intimidate, discriminate against, stalk, assault, or exploit any Traveler or other user;
- engage in sexual misconduct or inappropriate physical contact;
- carry weapons or act as a bodyguard or security agent;
- provide transport in private or third-party vehicles as part of the Platform service unless expressly enabled by the Platform and lawful;
- engage in illegal drug use or perform services while materially impaired by alcohol or drugs;
- commit fraud, abuse refunds, abuse chargebacks, or manipulate complaints;
- upload unlawful, infringing, defamatory, obscene, hateful, or misleading content;
- represent yourself as an employee or official representative of Coreare;
- use Traveler data obtained through the Platform for unrelated marketing, harassment, or unlawful solicitation;
- reverse engineer, scrape, clone, or exploit the Platform in an unauthorised way.
12.2 Any breach of this Section may result in immediate restriction, suspension, payout hold, delisting, or termination.
13. Fees, Platform Commission and Guide Earnings
13.1 In consideration for the use of the Platform, Coreare retains a 20% platform commission on the Booking value, unless a different rate is expressly agreed in a separate written contract signed by Coreare.
13.2 Unless otherwise stated, the Commission applies to:
- the booked service amount;
- extensions;
- additional time booked through the Platform;
- related payable amounts processed through the Platform.
13.3 Guide earnings displayed in the App may be estimates and may be adjusted due to:
- refunds;
- partial refunds;
- discounts;
- promotional credits;
- coupon application;
- chargebacks;
- processor deductions where contractually passed through;
- taxes or mandatory local adjustments;
- dispute outcomes;
- correction of technical or clerical errors.
13.4 Coreare may deduct from your earnings any sums reasonably due by you to Coreare under these Terms or arising from your conduct on the Platform, including fraud losses, refund liabilities, chargebacks, overpayments, negative balances, or legal compliance deductions where applicable.
13.5 Coreare may modify Commission structure for future Bookings by notice in accordance with Section 19.
14. Wallet, Payouts, Reversals and Negative Balance
14.1 Where a Wallet is shown, it is an internal bookkeeping record of amounts that may become payable to you, not a bank account, payment account, deposit account, or safeguarded e-money account unless expressly required by law.
14.2 Payouts may be subject to:
- minimum payout thresholds;
- verification checks;
- fraud or risk review;
- identity compliance;
- payout provider availability;
- tax or invoice compliance;
- reserve holds where reasonably required.
14.3 Coreare may delay, withhold, reverse, offset, or suspend a Payout where reasonably necessary, including in case of:
- pending disputes;
- chargebacks;
- suspected fraud;
- duplicate payments;
- legal requests;
- missing tax or identity information;
- suspected breach of these Terms.
14.4 Your Wallet may show a negative balance if refunds, reversals, chargebacks, deductions, or corrections exceed the amounts otherwise due to you.
14.5 You remain liable for any negative balance owed to Coreare. Coreare may recover such amounts by:
- offsetting future earnings;
- retaining payouts;
- seeking repayment through lawful means.
15. Taxes, VAT and Invoicing
15.1 You are solely responsible for determining and complying with all tax obligations arising from your activity through the Platform.
15.2 This includes, where applicable:
- VAT / IVA registration;
- income tax declarations;
- social security contributions;
- local business taxes;
- issuance of invoices or receipts;
- bookkeeping and accounting obligations.
15.3 Coreare does not provide tax advice through these Terms and is not responsible for your tax classification or compliance.
15.4 Any summaries, statements, payout history, or earnings reports made available in the Platform are provided for convenience only and do not replace your independent legal, tax, or accounting duties.
15.5 If Coreare is required by law to collect, report, withhold, or share tax-related information, you agree to cooperate and provide accurate data.
16. Off-Platform Circumvention / Non-Circumvention
16.1 A core condition of these Terms is that Travelers introduced to you through the Platform must not be diverted away from the Platform in order to avoid Commission, fees, monitoring, support, dispute systems, consumer safeguards, or Platform rules.
16.2 You must not:
- ask a Traveler to pay you directly outside the Platform for the same or a related Booking;
- encourage a Traveler to cancel in-app and continue privately;
- exchange off-platform booking details for the purpose of bypassing the Platform;
- use contact data obtained through the Platform to privately remarket competing services without permission.
16.3 Any Off-Platform Booking involving a Traveler first identified through the Platform may be treated as a material breach of these Terms.
16.4 Without prejudice to any other right, Coreare may in such cases:
- suspend or terminate your account;
- retain sums otherwise payable;
- seek compensation for lost Commission and related damages where lawful;
- restrict your future visibility or access.
17. Ratings, Complaints, Internal Investigations and Quality Control
17.1 The Platform may allow Travelers to rate and review Guides, and may use such information for quality control, support, ranking, trust and safety, and account decisions.
17.2 Coreare may review complaints, low ratings, repeated cancellations, no-show patterns, operational breaches, or other quality signals.
17.3 In connection with complaints or investigations, Coreare may request explanations, documents, logs, messages, or other information from you. You agree to cooperate reasonably and promptly.
17.4 Coreare may adopt quality-control measures, including:
- warnings;
- temporary restrictions;
- reduced visibility;
- probationary measures;
- mandatory profile correction;
- payout holds;
- suspension;
- termination.
17.5 If you wish to raise a complaint against Coreare relating to the Platform, a restriction, a payment issue, or an operational matter, you may contact: [INSERT SUPPORT EMAIL].
17.6 Coreare will review internal complaints in good faith, but nothing in this Section obliges Coreare to restore an account, reverse a decision, or grant compensation unless required by law or deemed appropriate by Coreare.
18. Restriction, Suspension and Termination
18.1 Coreare may restrict, suspend, delist, geofence-limit, or terminate your access to the Platform, with or without prior notice where lawful and reasonably necessary, including in cases of:
- fraud or suspected fraud;
- serious or repeated breach of these Terms;
- identity or document issues;
- safety risk;
- abuse of Travelers or staff;
- false location, false completion, or platform manipulation;
- chargeback abuse or refund abuse;
- illegal activity;
- unauthorised Off-Platform Booking;
- regulatory risk;
- repeated poor performance or reliability concerns;
- legal or authority requests.
18.2 Coreare may also limit your account in less severe ways, including:
- blocking certain areas;
- reducing ranking or visibility;
- disabling new Bookings;
- freezing payouts;
- placing the account under review.
18.3 You may stop using the Platform at any time and may request account closure through the App or support, subject to:
- completion or cancellation of pending Bookings;
- settlement of negative balances;
- ongoing disputes;
- legal retention obligations.
18.4 Termination or suspension does not remove your liability for prior conduct, outstanding fees, negative balances, taxes, indemnities, investigations, or legal claims.
19. Changes to the Terms
19.1 Coreare may modify these Terms from time to time to reflect changes in:
- law or regulation;
- platform features or workflow;
- Commission structure;
- risk controls;
- payment or payout systems;
- support policies;
- business operations.
19.2 Where the change materially affects Guides, Coreare will provide notice through the App, by email, or through another reasonable channel.
19.3 Unless a shorter period is required by law, safety, anti-fraud necessity, technical emergency, or legal obligation, material changes will generally become effective after a reasonable notice period.
19.4 If you continue using the Platform after the effective date of updated Terms, you will be deemed to have accepted them to the extent permitted by law.
19.5 If you do not agree with the updated Terms, you must stop using the Platform and may request account closure.
20. Access to Data
20.1 Coreare may make certain data available to you through the Platform, such as:
- your profile data;
- your Booking history;
- your Wallet and payout history;
- certain Traveler details necessary to perform the service;
- ratings and limited review information.
20.2 Coreare may restrict access to certain data where necessary for:
- privacy protection;
- fraud prevention;
- security;
- legal compliance;
- protection of other users;
- internal operational integrity.
20.3 Upon termination, your access to data through the App may cease immediately or after a limited period.
20.4 Coreare may retain data after termination as required for legal, tax, accounting, fraud-prevention, safety, and dispute-resolution purposes.
21. Intellectual Property and Limited License
21.1 The Platform, including its software, workflows, layout, interface design, brand assets, trademarks, logos, content structure, databases, and related materials, is owned by Coreare and/or its licensors.
21.2 Subject to your compliance with these Terms, Coreare grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the App solely for the purpose of performing lawful services through the Platform.
21.3 You must not:
- copy, reproduce, republish, or commercially exploit the Platform outside intended use;
- reverse engineer, decompile, or attempt to derive source code;
- scrape or extract large portions of Platform data;
- use Coreare or Boda branding without written permission;
- build or assist a competing platform through unauthorised use of Platform materials.
21.4 You retain ownership of your Guide Content, but grant Coreare a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, store, adapt, moderate, and use such content solely for operating, improving, marketing, securing, and enforcing the Platform.
22. Data Protection and Privacy Reference
22.1 Your use of the Platform is also subject to the Boda Privacy Policy, as updated from time to time.
22.2 For Platform-related processing, Coreare generally acts as the data controller for the purposes and means of processing connected to operation of the Platform.
22.3 Infrastructure, hosting, storage, communication, analytics, and support services may be supplied by third-party providers, including hosting providers such as Hostinger or equivalent suppliers selected by Coreare.
22.4 Payment-related processes may be handled by external providers such as Stripe, PayPal, or other approved processors. Such providers may apply their own legal terms and privacy practices to the segments of processing they independently manage.
22.5 You agree to process Traveler data only as strictly necessary to perform the Booking and in compliance with Applicable Law. You must not retain, reuse, sell, or exploit Traveler data for unrelated purposes.
23. Indemnity
23.1 To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Coreare, Boda, their affiliates, directors, officers, employees, contractors, licensors, and service providers from and against any claim, action, demand, proceeding, liability, loss, damage, judgment, fine, penalty, tax assessment, cost, or expense, including reasonable legal fees, arising out of or related to:
- your breach of these Terms;
- your violation of Applicable Law;
- your failure to obtain licences, permits, or authorisations;
- your tax or VAT non-compliance;
- your conduct during or outside a Booking where connected to the Platform;
- injury, damage, harassment, or loss suffered by a Traveler or third party due to your acts or omissions;
- your Guide Content;
- your fraud, negligence, wilful misconduct, or regulatory breach;
- your misuse of personal data.
23.2 Coreare reserves the right to assume exclusive defence and control of any matter otherwise subject to indemnification by you, at your cost where lawful.
24. Disclaimers and Limitation of Liability
24.1 To the fullest extent permitted by law, the Platform is provided “as is” and “as available”.
24.2 Coreare makes no representation or warranty that:
- the Platform will always be uninterrupted, secure, accurate, or error-free;
- geolocation, maps, dispatching, notifications, or payout flows will always function correctly;
- you will receive any minimum number of Bookings;
- you will earn any minimum income;
- Travelers will behave lawfully or appropriately;
- third-party providers will perform without interruption or error.
24.3 Coreare shall not be liable for:
- acts or omissions of Travelers, Guides, or third parties;
- local regulatory enforcement against you;
- payment processor issues, bank issues, app store issues, network outages, map errors, or hosting failures;
- indirect, incidental, special, consequential, punitive, or exemplary damages;
- loss of profits, opportunity, data, reputation, business, or expected revenue.
24.4 To the maximum extent permitted by law, if Coreare is found liable for any claim arising out of or connected with these Terms or the Platform, Coreare’s total aggregate liability shall not exceed the total Commission actually retained by Coreare from your Bookings during the twelve (12) months preceding the event giving rise to the claim.
24.5 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence where mandatory law so requires.
24.6 Except where prohibited by mandatory law, any claim arising out of or relating to the Platform or these Terms must be brought within one (1) year from the date the cause of action arose, otherwise it shall be permanently barred.
25. Governing Law, Jurisdiction and Dispute Resolution
25.1 These Terms shall be governed by and construed in accordance with the laws of Italy, without prejudice to any mandatory laws that may apply.
25.2 Any dispute arising out of or in connection with these Terms, the Platform, or your use of Boda Guide shall first be addressed in good faith through direct contact with Coreare at [INSERT LEGAL/SUPPORT EMAIL].
25.3 If the dispute cannot be resolved amicably, it shall be submitted to the competent courts of Italy, unless mandatory law requires otherwise.
26. Miscellaneous
26.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
26.2 Coreare’s failure to enforce any provision shall not constitute a waiver of that provision or any other right.
26.3 You may not assign, transfer, subcontract, or otherwise dispose of your rights or obligations under these Terms without Coreare’s prior written consent.
26.4 Coreare may assign or transfer these Terms, or any rights under them, as part of a corporate reorganisation, merger, acquisition, sale of assets, or operational restructuring.
